Hereinafter referred to as: Presentation Lab<\/strong><\/span><\/p>\n

1. Applicability<\/span><\/strong><\/p>\n

    \n
  • These terms and conditions apply to all quotations, assignments and services provided by Presentation Lab to professional clients (B2B).<\/span><\/li>\n
  • The services include, among other things, presentation training, coaching, presentation checks, storytelling, concept development, presentation design and related visual communication.<\/span><\/li>\n
  • The content, scope, approach, planning and price of an assignment are set out in the quotation or written order confirmation.<\/span><\/li>\n
  • Work that is not explicitly included in the quotation does not form part of the agreed assignment.<\/span><\/li>\n
  • The terms and conditions are made available to the client before or when the agreement is concluded. By approving the quotation in writing, the client confirms that they accept these terms and conditions.<\/span><\/li>\n
  • Any deviating terms of the client only apply if Presentation Lab has expressly accepted them in writing in advance.<\/span><\/li>\n
  • In the event of a conflict between the specific arrangements in an approved quotation and these terms and conditions, the specific arrangements in the quotation take precedence.<\/li>\n<\/ul>\n

    2. Obligations of the client<\/strong><\/p>\n

      \n
    • The client provides, in good time, all information, documents and materials needed to carry out the assignment correctly, including briefings, texts, data, existing presentations, brand guidelines, brand strategies and other relevant documents.<\/span><\/li>\n
    • The client remains responsible for the accuracy, completeness and legal compliance of the information, data and claims provided.<\/span><\/li>\n
    • For medical, scientific, technical, financial or other regulated content, the client is responsible for checking the content, any compliance requirements and final approval.<\/span><\/li>\n
    • The client ensures the necessary internal alignment and, where needed, appoints a contact person who can bundle feedback and confirm decisions.<\/span><\/li>\n
    • If information, decisions or feedback are provided late, this may affect the planning and delivery date. Any additional work is discussed in advance.<\/li>\n<\/ul>\n

      3. Training and coaching: cancellation and rescheduling by the client<\/span><\/strong><\/p>\n

        \n
      • Cancellation or rescheduling must be made in writing. Email is sufficient. The date of receipt determines the applicable period.<\/span><\/li>\n<\/ul>\n

        More than 14 calendar days before the start date<\/span><\/strong><\/p>\n

          \n
        • Free rescheduling to another date, in consultation with Presentation Lab.<\/span><\/li>\n
        • Free replacement by a participant from the same organisation.<\/span><\/li>\n
        • In the event of definitive cancellation, a cancellation fee is due of 40% of the agreed total price for the booked training or coaching, with a minimum of \u20ac400, up to a maximum of the agreed total price.<\/span><\/span><\/li>\n<\/ul>\n

          Within 14 calendar days before the start date<\/strong><\/p>\n

            \n
          • The full agreed price remains due.<\/span><\/li>\n
          • Replacement by a participant from the same organisation is allowed at no additional cost.<\/span><\/li>\n
          • Rebooking to another date is possible by mutual agreement, depending on the availability of Presentation Lab. Amounts already paid are deducted. Additional preparation hours are charged at \u20ac90 per hour, excluding VAT. Any additional administrative costs are communicated and agreed in advance.<\/span><\/li>\n<\/ul>\n

            For programmes with several sessions, the start date of the first session applies as the reference date, unless the quotation states otherwise.<\/span><\/p>\n

            External costs already incurred, such as venue hire or catering, that cannot be cancelled free of charge are passed on, insofar as they are not already included in the cancellation fee.<\/span><\/p>\n

            4. Cancellation or changes by Presentation Lab<\/span><\/strong><\/p>\n

              \n
            • Presentation Lab may postpone or cancel a training, coaching session or assignment if it cannot reasonably be carried out due to force majeure, serious illness, an accident, serious family circumstances, prolonged technical failures or other circumstances beyond its reasonable control.<\/span><\/li>\n
            • Presentation Lab informs the client of this as soon as possible.<\/span><\/li>\n
            • The parties consult each other to find a new date or adjusted planning.<\/span><\/li>\n
            • If rescheduling or further execution is not possible, amounts already paid for the part not carried out are refunded. Work already carried out remains due.<\/span><\/li>\n
            • To the extent permitted by law, Presentation Lab is not liable in the event of force majeure for any additional damage or costs resulting from the postponement or cancellation.<\/span><\/li>\n<\/ul>\n

              5. Presentation Check: conditions and termination<\/span><\/strong><\/p>\n

                \n
              • The Presentation Check consists of the analysis, assessment and advice on an existing presentation, as described in the quotation.<\/span><\/li>\n
              • The specific work and deliverables are set out per assignment.<\/span><\/li>\n
              • The Presentation Check is offered at one fixed price per assignment, without division into separate phases.<\/span><\/li>\n
              • If the client terminates early, the full agreed price remains due, unless the client cancels in writing at least 7 calendar days before the planned start date and Presentation Lab has not yet carried out any work.<\/span><\/li>\n
              • The client’s decision to follow the advice in full, in part or not at all does not affect the obligation to pay.<\/span><\/li>\n
              • Additional work outside the original quotation is discussed in advance and only carried out after the client’s approval.<\/li>\n<\/ul>\n

                6. Custom presentations: work phases, payment and termination<\/span><\/strong><\/p>\n

                6.1. Assignment and work phases<\/strong><\/p>\n

                  \n
                • The assignment is carried out according to the work and phases described in the quotation.<\/span><\/li>\n
                • The phases may include briefing, analysis, storyline, visual concept, design and production of the presentation.<\/span><\/li>\n
                • The content and value of the individual phases are determined per assignment and included in the quotation.<\/span><\/li>\n
                • The assignment starts after written approval of the quotation and receipt of the agreed advance payment.<\/span><\/li>\n<\/ul>\n

                  6.2. Payment terms<\/strong><\/p>\n

                  Unless otherwise agreed in writing, the following arrangement applies:<\/span><\/p>\n

                    \n
                  • 50% of the total price at the start, before work begins.<\/span><\/li>\n
                  • 50% on final delivery of the presentation.<\/span><\/li>\n<\/ul>\n

                    These payment moments are independent of the value of the individual work phases.<\/span><\/p>\n

                    6.3. Feedback and rounds of revisions<\/strong><\/p>\n

                      \n
                    • The number of included rounds of revisions is set out in the quotation.<\/span><\/li>\n
                    • The client has 15 calendar days after receiving a design, storyline or presentation to provide feedback, unless another period has been agreed in writing.<\/span><\/li>\n
                    • Feedback is bundled as much as possible. The client aligns contradictory comments from different stakeholders internally.<\/span><\/li>\n
                    • If Presentation Lab does not receive feedback within the agreed period, a written reminder follows with an additional period to respond.<\/span><\/li>\n
                    • If there is still no response, Presentation Lab may close the phase concerned administratively and invoice it according to the agreed payment terms.<\/span><\/li>\n
                    • Administrative closure does not imply automatic approval of the content by the client.<\/span><\/li>\n
                    • Delays in feedback may lead to changes in the further planning.<\/li>\n<\/ul>\n
                        <\/ul>\n

                        6.4. Changes and additional work<\/strong><\/p>\n

                          \n
                        • Changes within the agreed rounds of revisions and the original description of the assignment are included in the agreed price.<\/span><\/li>\n
                        • Changes outside the original assignment, such as a new target audience, a changed key message, a different storyline or a substantial expansion of the content, are considered additional work.<\/span><\/li>\n
                        • Depending on its scope, additional work is charged at the hourly rate communicated in advance or through a supplementary quotation.<\/span><\/li>\n
                        • Additional work is discussed in advance and only carried out after the client’s approval.<\/span><\/li>\n
                        • Major changes may lead to changes in the planning.<\/span><\/li>\n<\/ul>\n

                          6.5. Early termination by the client<\/strong><\/p>\n

                          If the client decides to terminate an approved assignment early, the following provisions apply:<\/span><\/p>\n

                            \n
                          • Phases that have already been fully completed remain due in full.<\/span><\/li>\n
                          • Work that has already started in a following phase is charged according to its demonstrable degree of completion.<\/span><\/li>\n
                          • For the part of the assignment not yet carried out, a termination fee is due of 50% of the agreed value of that part.<\/span><\/li>\n
                          • This fee compensates, among other things, for the reserved capacity and the income Presentation Lab loses due to the early termination.<\/span><\/li>\n
                          • Advance payments already made are deducted from the total fee due. The same work is not charged twice.<\/span><\/li>\n<\/ul>\n

                            6.6. Use of interim results<\/strong><\/p>\n

                              \n
                            • If an assignment consists of several phases and the client terminates it early, the interim results, including analyses, storylines, texts, concepts and visual proposals, remain reserved to Presentation Lab.<\/span><\/li>\n
                            • Payment for an individual phase does not automatically give the client the right to use these results independently, develop them further or transfer them to third parties.<\/span><\/li>\n
                            • Any further use requires the prior written consent of Presentation Lab. Any rights of use and fees are agreed separately.<\/span><\/li>\n
                            • If only an individual phase is ordered, the rights of use set out in the quotation concerned apply.<\/span><\/li>\n<\/ul>\n

                              7. Best-efforts obligation and liability<\/strong><\/p>\n

                                \n
                              • Presentation Lab carries out its services to the best of its knowledge, ability and expertise, but does not guarantee any specific commercial, professional or other end result.<\/span><\/li>\n
                              • Presentation Lab is not liable for damage resulting from incorrect, incomplete or late information from the client, changes made by third parties or technical problems beyond its reasonable control.<\/span><\/li>\n
                              • To the extent permitted by law, Presentation Lab is not liable for indirect or consequential damage, such as loss of profit, missed opportunities or reputational damage.<\/span><\/li>\n
                              • Any direct liability of Presentation Lab is, to the extent permitted by law, limited to the amount invoiced and paid by the client for the services for the project to which the complaint relates.<\/span><\/li>\n
                              • These limitations do not apply to liability that cannot be excluded or limited under mandatory law.<\/span><\/li>\n<\/ul>\n

                                8. Intellectual property<\/strong><\/p>\n

                                Training and coaching<\/strong><\/p>\n

                                  \n
                                • All intellectual property rights to training materials developed or used by Presentation Lab, including methods, slides, handouts, workbooks, templates, checklists and the Presentation Toolkit, remain with Presentation Lab or the relevant rights holders.<\/span><\/li>\n
                                • The client and participants receive a non-exclusive, non-transferable right of use for their own professional use.<\/span><\/li>\n
                                • Without prior written consent, these materials may not be published, distributed, shared with non-participants or used as the basis for own training courses or commercial products, in whole or in part.<\/span><\/li>\n<\/ul>\n

                                  Custom presentations<\/strong><\/p>\n

                                    \n
                                  • After full payment, the client receives a non-exclusive right of use for the final delivered presentation.<\/span><\/li>\n
                                  • The client may use, adapt, copy, present and distribute this presentation internally or externally for the purpose for which it was developed.<\/span><\/li>\n
                                  • Separate reuse of original visual concepts, designs and graphic elements for other purposes, such as advertisements, advertising campaigns, websites or brochures, requires the prior written consent of Presentation Lab. Any additional rights of use and fees are agreed separately.<\/span><\/li>\n
                                  • The underlying methods, ways of working and reusable designs of Presentation Lab remain its property, insofar as rights exist in them.<\/span><\/li>\n
                                  • Images, fonts and other third-party materials are subject to the applicable licence terms.<\/span><\/li>\n
                                  • In the event of early termination, the provisions on interim results in article 6.6 apply.<\/span><\/li>\n
                                  • Deviating arrangements on rights of use are set out in writing in the quotation.<\/span><\/li>\n<\/ul>\n

                                    Materials provided by the client<\/strong><\/p>\n

                                      \n
                                    • The client guarantees that they hold the necessary rights and permissions for texts, images, logos, data, charts and other materials they provide to Presentation Lab.<\/li>\n
                                    • Claims by third parties resulting from unauthorised use of materials provided by the client are the responsibility of the client, to the extent permitted by law.<\/li>\n<\/ul>\n

                                      9. Payment<\/strong><\/p>\n

                                        \n
                                      • Invoices are payable within 15 calendar days of the date of sending, unless otherwise agreed in writing.<\/span><\/li>\n
                                      • Presentation Lab may send an advance invoice or request full or partial payment in advance.<\/span><\/li>\n
                                      • In the event of late payment, to the extent permitted by law, late payment interest of 1% per started month on the outstanding amount is due by operation of law and without prior notice of default, as well as fixed compensation of 10% of the outstanding invoice amount, with a minimum of \u20ac75.<\/span><\/li>\n
                                      • In the event of non-payment, Presentation Lab may suspend ongoing assignments or refuse further services until payment has been made, taking into account any legal restrictions.<\/span><\/li>\n<\/ul>\n

                                        10. Confidentiality and use as a reference<\/strong><\/p>\n

                                        Confidentiality<\/strong><\/p>\n

                                          \n
                                        • Presentation Lab and the client treat confidential information about each other’s organisation, projects, plans, rates, content and working methods as confidential.<\/span><\/li>\n
                                        • Confidential information is used exclusively for carrying out the assignment, unless the other party gives prior written consent or a legal obligation requires otherwise.<\/span><\/li>\n
                                        • This obligation continues to apply after the end of the assignment for as long as the information is confidential in nature.<\/span><\/li>\n<\/ul>\n

                                          Use as a reference<\/strong><\/p>\n

                                            \n
                                          • Presentation Lab may only use completed assignments, client logos, images or parts thereof in its own communication with the prior written consent of the client.<\/span><\/li>\n
                                          • Presentation Lab submits in advance, for approval, what will be shown, where it will appear and in what context.<\/span><\/li>\n<\/ul>\n

                                            11. Privacy and data processing<\/strong><\/p>\n

                                              \n
                                            • Presentation Lab processes personal data, such as name, position, contact details and feedback, for quotations, client management, planning, delivery of services and accounting, in accordance with the applicable privacy legislation.<\/span><\/li>\n
                                            • Personal data is not sold and is only shared with third parties when this is necessary for the provision of services or required by law.<\/span><\/li>\n
                                            • Data subjects can exercise their rights in accordance with the applicable privacy legislation.<\/span><\/li>\n
                                            • More information can be found in the privacy policy on the Presentation Lab website.<\/span><\/li>\n<\/ul>\n

                                              12. Other provisions and disputes<\/strong><\/p>\n

                                                \n
                                              • Presentation Lab may engage specialised third parties to carry out an assignment, for example for training, design, photography or technical support. Presentation Lab remains the point of contact for the client, unless otherwise agreed.<\/span><\/li>\n
                                              • If necessary information or cooperation is not provided despite a written request, or in the event of a serious breach of contract, Presentation Lab may suspend performance or terminate the agreement in accordance with the applicable law.<\/span><\/li>\n
                                              • Services already provided and costs due remain payable upon termination, without prejudice to the specific arrangements on early termination.<\/span><\/li>\n
                                              • If any provision of these terms and conditions proves to be invalid or unenforceable, the remaining provisions remain in force.<\/span><\/li>\n
                                              • All agreements with Presentation Lab are governed by Belgian law.<\/span><\/li>\n
                                              • Disputes are preferably first settled amicably. Failing agreement, and to the extent permitted by law, the competent courts of the judicial district of Antwerp, Mechelen division, have jurisdiction.<\/span><\/li>\n<\/ul>\n<\/p>\n<\/div>\n
